This website (the “Site”), including any subdomains and pages operated under consultkimball.com and related domains (together, the “Site”), is owned and operated by Kimball Consulting LLC (“Kimball Consulting,” “Company,” “we,” “our,” or “us”). By accessing or using the Site in any manner—whether automated or otherwise—you agree to be bound by these Terms of Use (the “Terms”), our Privacy Policy, and any additional terms and conditions that apply to specific sections of the Site or to products and services available through the Site.
We may update these Terms from time to time. When we do, we will post the revised Terms on this page with a new “Last updated” date. Your continued use of the Site after any changes means you accept the Terms as modified.

Your License to Us (User Submissions)
If you post or submit any material to us through the Site, email, text, social media, or otherwise (including comments, testimonials, reviews, photos, or videos), you represent and warrant that:

6) Financing Independence & Responsible Use (Important)
Kimball Consulting is a strategic financing advisor, not a direct lender. We provide advisory services, educational materials, and introductions to independent third-party funding providers. Underwriting decisions, terms, and timelines are determined solely by those third-party providers.
Once funding (if any) is approved and disbursed, the use of funds is at the client’s sole discretion. We do not control or monitor how funds are used. Access to capital can be a powerful growth tool, but poor deployment can create unnecessary risk. We encourage clients to consult qualified financial, legal, tax, and accounting professionals and to allocate capital toward revenue-generating activities and durable business assets.
No Guarantees. We do not guarantee approvals, specific funding amounts, interest rates, terms, timelines, or outcomes. Any examples are illustrative only; results vary by credit profile, financials, industry, lender criteria, and market conditions.
7) Educational & Professional Advice Disclaimers
All Site content is provided for educational and informational purposes only. Nothing on the Site should be construed as legal, tax, accounting, or investment advice. You should consult your own professional advisors before making decisions.
8) Fees, Purchases & Refunds
From time to time, we may offer paid products or services (e.g., consultations, document reviews, financing strategy engagements). Each product or service will specify its own pricing and refund policy, which controls in the event of any conflict with this section.

Fees are due at the time of purchase.
Payments are processed by third-party payment processors subject to their terms and privacy practices.

Refunds (if any) are governed by the applicable product or engagement agreement.
9) Appointments, Rescheduling & Cancellations
If your purchase includes a scheduled session, you may be subject to rescheduling or cancellation policies that will be specified at the time of booking or in your engagement agreement. Missed or late appointments may be deemed forfeited per the applicable policy.

From time to time, we may conduct promotions, challenges, contests, or giveaways. Each promotion will have its own Official Rules posted at the time of the offer. To the extent of any conflict, the Official Rules control over these Terms for that promotion.

13) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KIMBALL CONSULTING, ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ANY CONTENT, PRODUCTS, OR SERVICES MADE AVAILABLE THROUGH THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

15) Privacy
Your use of the Site is also subject to our Privacy Policy, which explains how we collect, use, and share information. By using the Site, you consent to our Privacy Policy.
16) Dispute Resolution; Governing Law; Venue
We value straightforward, professional resolution. If a dispute arises, the parties will first attempt to resolve it in good faith through informal discussions. If unresolved within 60 days, the parties agree to participate in non-binding mediation in Hennepin County, Minnesota.
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-law principles. Subject to the mediation requirement above, the exclusive venue for any action arising out of or relating to these Terms or the Site shall be the state or federal courts located in Hennepin County, Minnesota, and you consent to personal jurisdiction in those courts.
Waiver of Class Actions and Jury Trial. To the fullest extent permitted by law, you agree to bring claims in your individual capacity only and not as a plaintiff or class member in any purported class or representative action, and you waive the right to a jury trial.
17) International Use
We control and operate the Site from the United States. We make no representation that the Site or its content is appropriate or available for use in other locations. If you access the Site from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws.
18) Termination
We may, in our sole discretion, suspend or terminate your access to all or part of the Site for any reason, including violation of these Terms, without notice.
19) Miscellaneous
Entire Agreement. These Terms, together with any additional terms expressly incorporated by reference and our Privacy Policy, constitute the entire agreement between you and us regarding the Site.
Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms at any time.
